As I understand both formats are OpenSource, XML, Zipped, ...

So what's the difference ?
...and why .odt was developed ? (to solve what problem)

The ODT format is an OASIS format. Heavily based on the older SXW format.

The ideas are not much different. Internal labels, names, etc. have changed within the XML. The OASIS format is more open than the older SXW format. It is vendor neutral. This is more than just "published document format", it is now an "open" format. See the difference?

My best guess as to "why?"....

If I were to guess, probably removed all references to "sun" or "star-anything" or even "openoffice.org".

The ODT format is not specific to OpenOffice.org. Other office suites can use the format. KOffice (part of KDE) has adopted the format as its native document format. So you could save an ODT file from OOo, and a KDE KWrite user could open it with no loss of information. KWrite could then edit and save the ODT, and OOo could again open it with no loss of information.
